Payment, Cancellation & Refund Policy
This Policy describes the general payment, cancellation, and refund principles applicable to services contracted through Panama Entity.
Specific quotations, invoices, proposals, or engagement agreements may contain additional or different terms applicable to a particular matter. Where there is a conflict, the terms specifically agreed for the relevant engagement will apply, subject to applicable law.
1. Currency
Unless expressly stated otherwise, prices published or quoted by Panama Entity are expressed in United States Dollars (USD).
2. Payment Structure
Unless a quotation, invoice, or engagement agreement establishes different terms:
60% of the applicable professional or service fee is payable to initiate the engagement.
The remaining 40% is payable upon completion of the applicable service milestone or before release or delivery of the final documentation, as specified for the particular engagement.
Work may not commence until the required initial payment, documentation, and client acceptance requirements have been completed.
3. Governmental and Third-Party Charges
A quotation or package will indicate the services and expenses included in the stated price.
Additional expenses not expressly included may include, depending on the matter:
Government charges
Registry fees
Notarial expenses
Apostilles
Legalizations
Certifications
Translations
Courier or delivery expenses
Banking or financial institution charges
Additional professional services
Extraordinary administrative expenses
No additional material charge will be intentionally incurred on behalf of a client without an appropriate contractual basis or authorization where required.
4. Cancellation by the Client
A client may request cancellation of a service by contacting Panama Entity.
The refundable amount, if any, will depend on:
The stage of the engagement
Professional work already performed
Documents already prepared
Applications or filings already submitted
Third-party services already ordered
Governmental, notarial, registry, payment-processing, courier, or other charges already incurred
Other non-recoverable expenses attributable to the engagement
Where cancellation occurs before substantive work has commenced and before third-party costs have been incurred, Panama Entity will determine the appropriate refund of unearned amounts, subject to the specific engagement terms and applicable law.
5. Work Already Performed
Professional or service fees attributable to work already properly performed are not ordinarily refundable merely because the client subsequently decides not to continue with the matter.
Where only part of the engagement has been performed, Panama Entity may calculate any refund based on work completed and expenses incurred.
6. Government and Third-Party Fees
Governmental, registry, notarial, courier, translation, payment-provider, certification, legalization, apostille, and other third-party expenses that have already been paid or become non-recoverable generally cannot be refunded by Panama Entity.
Where a third party provides a refund, any corresponding amount received may be returned to the client subject to applicable costs and contractual terms.
7. Governmental Rejection or Adverse Decisions
Payments are made for professional work and services provided and not for a guaranteed governmental or third-party result.
Accordingly, rejection, delay, denial, objection, additional-document request, or adverse determination by a government authority or independent third party does not automatically create a right to a refund for services that have already been properly performed.
This provision does not affect any rights available to the client under applicable law.
8. Client Ineligibility or Compliance Issues
Panama Entity may be unable to proceed where:
Required documentation is not provided
Information supplied is inaccurate or incomplete
Legal eligibility requirements are not satisfied
A conflict of interest exists
Due diligence cannot be satisfactorily completed
Compliance, sanctions, anti-money-laundering, ethical, professional, or legal concerns arise
Where an engagement cannot proceed, any refund will be determined based on services already performed, costs already incurred, contractual terms, and applicable law.
9. Failure to Provide Information
Clients are responsible for providing requested information and documentation within a reasonable period.
Unreasonable delay by the client may delay or prevent completion of the service.
Any consequences arising from missing, inaccurate, expired, incomplete, or untimely client documentation remain subject to the terms of the specific engagement.
10. Payment Processing
Online or electronic payments may be processed through independent payment service providers.
Panama Entity does not ordinarily receive or store complete payment-card information where payment is processed directly by a third-party payment provider.
Payment-provider terms, security procedures, and processing requirements may also apply to the transaction.
11. Duplicate or Incorrect Payments
Clients who believe they have made a duplicate or incorrect payment should contact Panama Entity promptly with the relevant transaction information.
Verified payment errors will be reviewed and corrected where appropriate.
12. Chargebacks and Payment Disputes
Clients are encouraged to contact Panama Entity before initiating a payment dispute so that billing or service concerns can be reviewed.
Nothing in this Policy prevents a client from exercising rights available under applicable consumer, banking, payment-card, or other mandatory laws.
13. Refund Method
Where a refund is approved, it will generally be returned through the original payment method where reasonably possible.
Processing periods may depend on banks, card networks, payment processors, and other financial intermediaries.
14. Applicable Law
This Policy is governed by the laws of the Republic of Panama, without limiting mandatory consumer rights or other protections that may apply.
